1. INTRODUCTION

These terms and conditions together with any other policies referred to in these terms and conditions (including any policies or documents to which a link is provided from these terms and conditions) (together "Terms”) apply to all orders submitted by you for products made available by us for purchase over the Web Store. Please read these Terms carefully. Please note that these Terms do not affect your statutory rights as a consumer. For more information on your statutory rights, contact your local Trading Standards Office or Citizens Advice Bureau.
2. Please save or print a copy of these Terms for future reference.
3. The Web Store is solely for your personal use and should not be used for any commercial purposes.
3. ACCEPTANCE OF ORDERS
1. You agree that your order is an offer to purchase the products listed in your order ("Products”) on these Terms. All orders submitted by you are subject to acceptance by us. We may choose not to accept your order for any reason without liability to you including where Products were shown on the Web Store but were not available or were incorrectly priced or otherwise incorrectly described.
2. As submitting an order to us, we will send you an order acknowledgement email with your order number and details of the Products you have ordered. Please note that this email is an acknowledgement that we have received your order and is not an acceptance of your order. Acceptance of your order and the formation of a contract of sale between us and you will not take place unless and until we send you a dispatch confirmation email as the Products are dispatched to you.
3. When placing an order, you will have the option to register with us and complete certain required fields on an order form. We ask you to use identifications and passwords and other means for you to be able to access certain areas of the Web Store, such as the My Account section of the Web Store (“Secure Access”). Where we do so, it is on the condition that you shall be responsible for ensuring that such Secure Access is kept secure and confidential at all times. You shall comply with all security directions and/or recommendations given by us and inform us immediately if you become aware of or suspect any unauthorised use of the Secure Access or if the Secure Access becomes available to an unauthorised party. Without prejudice to our other rights and remedies, we may suspend your access to the Web Store without liability to you, if in our reasonable opinion, such action is necessary for safeguarding the Web Store.
4. In the event prolonged inactivity causes your connection to our Web Store to fail, your selection of goods may be lost. In such case, you will be required to re-enter your selection.
5. Before you submit your order, you will be given the opportunity to review your selection, check the total price of your order and correct any input errors. All information on our Web Store is an invitation to treat only and is not an offer or unilateral contract. Your order represents an offer by you to purchase the products.
6. You will be charged for the products which have been ordered by you together with the relevant delivery charges.
7. Although we have made all reasonable efforts to correctly display product colours on the Web Store, we cannot guarantee that these will be accurately represented.
4. PRICES
1. All prices on this website include any VAT payable and are stated in British pounds sterling. If your invoiced address or delivery address is outside the UK, VAT will be deducted from the listed price but you may be charged Duty and Sales Tax (VAT) by your invoiced country or delivery country.
2. We endeavor to ensure that all pricing information on the Web Store is correct. Occasionally, however, an error may occur and Products may be mis-priced. If a Product's correct price is lower or higher than the price stated on the Web Store, we will contact you and ask you whether you wish to proceed with the order at the correct price at which point you may cancel your order and we will confirm this cancellation in writing via email. We will not be obliged to supply Products at an incorrect price.
3. Brady Bags Ltd may vary the prices listed on this website at any time and without any notice. However, any such changes will not affect any orders for which you have already made.
5. PAYMENT TERMS
1. The total cost of your order will be the purchase price for the Products, plus delivery charges. For customers ordering from outside UK, please be aware that you may be charged Duty and Sales Tax (VAT) or Import tax by invoiced country or delivery country.
2. Please note that we accept payment in British pounds sterling only.
3. You confirm that the credit card or any other payment method that is being used is yours. All payments, including those made by credit card, are subject to validation checks and authorisation by the respective payment service providers or card issuers. If a payment is refused or not authorised we will not accept your order and we are not obliged to inform you of the reason for the refusal. We are not responsible for any charges imposed by your card issuer, bank, or payment service provider as a result of our processing of your payment in accordance with your order.
6. DELIVERY, TITLE AND RISK
1. Orders will be sent to the delivery address that you have given on your order form. We cannot be held responsible if that delivery address is incorrect. Please note that we do not deliver to PO boxes. Please note that there are restrictions on the locations to which we deliver products purchased from our Web Store. Products on this Web Store are not available for delivery to Japan. If you wish to place orders to receive Products in Japan, please visit the following website for our customers in Japan: https://jp.brady1887.com/.
2. Title in the Products will pass to you on the latter of:
a) the date on which we receive payment in full for such Products; and
b) the date of delivery of such Products to your nominated address.
3. Once a Product has been received by you, all risk of damage to, or loss of, the Product shall pass to you.
4. We shall be entitled to deliver the Products in instalments.
7. CANCELLATION AND RETURNS
If for any reason the Product you have ordered does not meet your expectations and you wish to return it, you can cancel your order by contacting us at any time up to 14 days after the day on which you receive your order. If you place an order for several Products and they are delivered separately, the 14-day period starts on the day on which you receive the last of the Products instalment in your order. If you cancel your order, the Products must be returned unused and in its original packaging with its swing tag on with proof of purchase from the Web Store, within 14 days of the cancellation of your order. The return delivery charge is borne by you as indicated on the web page upon your purchase. We will arrange for the original purchase price of the Products and delivery charge to be refunded using the same method you used to make the purchase within 14 days of us receiving the Products. For avoidance of doubts, any customs duty, sales tax you have paid on your original purchase cannot be refunded. We may reduce the amount of your refund to reflect any reduction in the value of the Products, if this has been caused by your handling them in a way which would not be permitted in a shop. Furthermore, you cannot cancel your order if it is for customised Products and we cannot accept any return of products not purchased from the Web Store. With respect to the return of products not purchased from the Web Store, please contact the shop from which you purchased those products. Cancellation and returns cannot be accepted after the 14 days unless the Product is originally faulty
8. DEFECTIVE PRODUCTS
If the Products are faulty, please contact us within 30 days of receipt by you. Once we accept that the Products were faulty, we will arrange for a return label and collection so that you can return the faulty Products to us and arrange for a replacement or a refund the amount you paid to us using the same method you used to make the purchase.
9. INTELLECTUAL PROPERTY
The "Brady™” trade mark as well as all trademarks, whether they are figurative or not, and all other marks, trade names, domain name, service marks, brand names, business names, illustrations, images, photos, logos, registered or unregistered designs, copyrights and patents ("Intellectual Property”), which appear on our Products, Web Store, accessories or packaging, whether registered or not, are and remain the exclusive property of Brady Bags Ltd. Any reproduction, whether complete or partial, modification or use of the Intellectual Property, for whatever reason and in whatever medium, without our written, express and prior agreement, is strictly prohibited, as is any combination or use in conjunction with any other mark, symbol, logo and more generally any distinctive sign intended to form a composite logo.
10.LIMITATION OF LIABILITY
We only supply the Products for domestic and private use. As such, we will have no liability to you for any loss of profit, loss of business, business interruption, loss of business opportunity, loss of goodwill or any other economic loss.
11. ASSIGNMENT, SUB-CONTRACTING ETC.
We reserve the right to transfer, assign, notate or sub-contract all or any of our rights and obligations under these Terms provided that your rights under these Terms are not affected. You may not assign, sub-contract or otherwise transfer any of your rights or obligations under these Terms without our consent in writing.
12. AMENDMENTS TO THESE TERMS
We reserve the right to make changes to these Terms at any time. You, and any contract of sale between us, will be subject to the version of these Terms in force at the time you order the Products in question from us.
13. EVENTS BEYOND OUR REASONABLE CONTROL
We will not be held responsible for any delay or failure to perform or comply with our obligations under these Terms if the delay or failure arises from any causes which are beyond our reasonable control.
14. SEVERANCE
Each provision of these Terms shall be construed separately and independently of each other. If any provision is deemed invalid, void or otherwise unenforceable, that provision shall be deemed severable form and not affect the enforceability of any of the other provisions of these Terms.
15. GOVERNING LAW AND JURISDICTION
These Terms and all transaction relating to this Web Store are governed by English law and you, and we, hereby submit to the non-exclusive jurisdiction of the English courts.
